1. Overview and Definitions

The Knoledger Tutors website, services provided in connection therewith (the "Services"), and the software available for download from Knoledger Tutors, LLC (the "Software") are owned, operated, and/or maintained by Knoledger Tutors, LLC (“we”, “our”, or “us”). These Terms govern your access to and use of the Services and Software. By using, accessing, or paying for access to the site, Services, or Software, you agree to these Terms.

For the purposes of this agreement, "you" refers to both the parent or guardian who pays for the Services and the student who uses them. If you are a parent or guardian enabling a minor to access the Services, you agree to be held responsible for the minor’s actions. Any violation of these Terms may result in the suspension or termination of your account.

We reserve the right to modify these Terms at any time. Any changes will become effective immediately upon posting, and continued use of the site, Services, or Software will constitute your acceptance of the new Terms.

2. Services

Knoledger Tutors provides an online platform connecting users with tutors who offer live, one-on-one or group tutoring services across various subjects. Tutoring sessions ("Tutoring Sessions") are conducted within our proprietary online platform. The Services are available throughout the year, except on major holidays, including New Year's Day, Independence Day, Thanksgiving Day, and Christmas Day. On these holidays, Services close at 2:00 a.m. and reopen at 2:00 a.m. the next day (Eastern Time). Services may be periodically unavailable for maintenance or upgrades.

You are responsible for ensuring that you have the necessary hardware, software, and internet connectivity to access the Services. Additionally, you are responsible for any telecommunication or other fees associated with accessing the Services.

Tutors are required to pass a third-party verification service ("Verification Service"), which checks their credentials and background. We rely on this verification but do not control or guarantee its accuracy.

3. Registration

To use the Services, you must register an account. By registering, you agree to provide accurate, current, and complete information about yourself and to update this information as necessary. Failure to do so may result in suspension or termination of your account.

When you register, you also agree to the transfer and storage of your personal data as outlined in our Privacy Policy. If you reside outside the U.S., you agree that your data may be transferred to and stored in other countries, including the U.S.

You are responsible for maintaining the confidentiality of your account information. Any unauthorized use of your account must be reported immediately. You may not transfer your account to anyone else.

4. User Content

Any materials you upload or transmit through the Services, including feedback and comments ("User Content"), will be treated as non-confidential. By submitting User Content, you grant us a perpetual, royalty-free, worldwide license to use, modify, and distribute it for any purpose, including marketing and service improvements.

If you request the system to display materials from textbooks or workbooks, you warrant that you have legal possession of these materials and that their use complies with fair use copyright law.

Knoledger Tutors may record Tutoring Sessions, including voice chat communications, for quality control. By using the Services, you consent to the recording of any and all Tutoring Sessions.

5. Copyright

The Software, technology underlying the Services, and all content made available through the site ("Company Content") are the proprietary works of Knoledger Tutors, LLC or its third-party providers. All content, including text, images, videos, software, and designs, is protected by copyright and other intellectual property laws.

You are granted a limited, revocable, non-transferable, and non-exclusive license to access the Services for personal and educational use. You may not copy, modify, distribute, or create derivative works from any Company Content without our explicit permission. Unauthorized use may result in civil or criminal penalties.

You may download and print limited copies of Company Content for personal use only, provided that all copyright notices are retained. The rights granted to you under these Terms will terminate upon any violation of these provisions.

6. Confidential Information

You agree to safeguard all proprietary content and information (collectively, “Proprietary Information”) related to the services and platform provided by Knoledger Tutors, LLC. You may not, without our prior written approval, directly or indirectly use or disclose Proprietary Information to any third party except to a limited number of employees on a need-to-know basis who have also agreed to these confidentiality restrictions.

You agree to notify us immediately of any unauthorized use or disclosure of Proprietary Information. Any such unauthorized use or disclosure will cause irreparable harm, and we reserve the right to seek equitable relief or damages for any breaches.

7. Links

Our services may contain links to third-party websites (referred to as "Third Party Sites"). Knoledger Tutors, LLC is not responsible for the availability or content of these Third Party Sites, nor do we endorse or guarantee the accuracy or completeness of any information, products, or services provided by such Third Party Sites.

Your interactions with Third Party Sites are at your own risk, and we shall not be held liable for any loss or damage arising from your use or reliance on any content, products, or services provided through these Third Party Sites.

8. Conduct, Fraud, and Consequences of Fraud

You agree to use our services for lawful purposes only and must not upload, distribute, or publish any content that is illegal, offensive, defamatory, or otherwise violates the rights of others. You are responsible for adhering to all applicable laws when using our services.

Fraudulent access to our system will result in fines of $50 per hour of improper use, with a minimum fee of $250. We may also charge any valid credit card we have on file for any fraudulent activity. Unauthorized actions that interfere with others’ access or use of the platform are strictly prohibited.

If you witness any suspicious activity or improper conduct from other users, it is your responsibility to report the matter to us immediately.

9. Disclaimer of Warranty; Limitations

Our services, platform, and content are provided “as is” without warranties of any kind. Knoledger Tutors, LLC expressly disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the services will be uninterrupted, secure, or error-free.

Under no circumstances shall we or third parties be liable for any direct, indirect, incidental, or consequential damages, including but not limited to loss of data or profits, resulting from your use of the services or any portion thereof, even if advised of the possibility of such damages.

Some jurisdictions do not allow certain warranty exclusions or limitations, so these provisions may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold Knoledger Tutors, LLC, its affiliates, and all associated officers, directors, employees, and agents harmless from any claims, losses, or damages arising from your use of the services or any violation of these Terms. This includes, but is not limited to, reasonable attorneys' fees and court costs.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with us in the defense of such matters.

11. Trademark Notice

The trademarks, service marks, and logos (the “Trademarks”) used and displayed on our platform are registered and unregistered trademarks of Knoledger Tutors, LLC and other third parties. Nothing on the site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on our platform, without the written permission of the applicable Trademark owner.

Unauthorized use of any trademarks, service marks, or logos is strictly prohibited, and Knoledger Tutors, LLC reserves the right to enforce its intellectual property rights to the fullest extent of the law.

12. Copyrights and Copyright Agents

We respect the intellectual property of others and expect users of our platform to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

• An electronic or physical signature of the person authorized to act on behalf of the copyright owner.
• A description of the copyrighted work that you claim has been infringed.
• A description of where the material you claim is infringing is located on our platform.
• Your address, telephone number, and email address.
• A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
• A statement by you, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

13. Local Laws; Export Control

You agree to comply with all applicable local laws and regulations regarding your use of our services, including but not limited to laws related to internet usage, privacy, and the export of data.

If you access the platform from outside the United States, you are responsible for ensuring compliance with the laws in your jurisdiction. Knoledger Tutors, LLC makes no representations that the services or content on the platform are appropriate or available for use in other countries.

14. Modifications to the Service

Knoledger Tutors, LLC reserves the right to modify, add, or discontinue any feature of the services at any time without notice. This includes, but is not limited to, changes in pricing, service offerings, and terminology. Any such changes will be reflected in the updated version of these Terms of Use.

Your continued use of the platform following any changes to the services signifies your acceptance of those changes.

15. Termination

Knoledger Tutors, LLC reserves the right to terminate your access to the services at any time for any reason, including but not limited to, violations of these Terms of Use, inactivity, or failure to pay for services. Upon termination, your right to use the platform will immediately cease, and you must destroy all copies of content obtained from the platform.

Provisions in these Terms of Use related to intellectual property rights, indemnification, disclaimers of warranty, and limitations of liability shall survive any termination or expiration of your account.

16. General

These Terms of Use, along with any other policies or guidelines posted on the platform, constitute the entire agreement between you and Knoledger Tutors, LLC with respect to the use of the services. Any prior agreements, whether oral or written, are hereby superseded.

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions. The failure of either party to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17. Payment and Billing

By using our services, you agree to pay all fees associated with the services you select. Payment will be processed through the payment method you provide at the time of registration or purchase. You authorize Knoledger Tutors, LLC to charge your payment method for the services you have selected.

Knoledger Tutors, LLC reserves the right to suspend or terminate your access to the services if we are unable to process your payment or if your payment is overdue. In the event of any billing disputes, please contact us immediately to resolve the issue.

18. Satisfaction Guarantee

We strive to provide exceptional services and ensure customer satisfaction. If you are unsatisfied with any aspect of our services, please reach out to us. We will investigate your complaint and may offer a refund or credit at our discretion, provided that the complaint is legitimate and submitted within 30 days of the issue.

Our goal is to ensure you are satisfied with our services, and we will do our best to address any issues that arise.

19. Cancellation Policy

You may cancel your subscription to our services at any time through your account settings or by contacting our customer support team. Upon cancellation, you will continue to have access to the services until the end of your current billing cycle. After that period, your access will be terminated, and no refunds will be issued for unused services.

If you cancel within the first 30 days of your subscription, you may be eligible for a prorated refund based on the unused portion of your subscription.

20. Governing Law, Personal Jurisdiction, and Venue

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the services provided by Knoledger Tutors, LLC shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You hereby consent to the personal jurisdiction and venue of the state and federal courts located in Delaware for any legal disputes that may arise out of or relate to these Terms.
